Announcement of the final Assembly of IAOA domiciled in Italy on Nov 22, 2021 (virtually)

Dear members of the IAOA domiciled in Trento, Italy (IAOA-IT) [1],
this is a formal invitation to participate in the second 2021 virtual assembly [2] of IAOA-IT,

→ an extraordinary assembly to be held on
Monday, 2021.11.22, 17:00 GMT/UTC [2]
(regional times: 09:00 PST / 12:00 EST / 18:00 CET / Tue 02:00 JST).

Its main purpose is to decide on the dissolution of our Association in Italy, in the context of its relocation to Switzerland. The Executive Council (EC) of IAOA-IT intends this to be the final assembly of IAOA-IT.

As you are aware from the relocation process over the past years, basically all IAOA activities have already been transferred to IAOA in Switzerland [3] (founded in June 2016). Now we are prepared to close the bank account of IAOA-IT and to dissolve the Association in Italy, formally.

→ We do need and thus urgently ask each one of you
to (preferably) join the Assembly or (alternatively)
arrange for a member who attends and is empowered
to vote for you as a proxy.

Article 26 of the Statute [4] declares: “For the dissolution of the Association, and transfer of assets, the favourable vote of at least three quarters of the Members is required.” Italian law regulates that Assembly to be called to an open vote (by show of hands) on the dissolution. Moreover, a liquidator needs to be determined, who executes the formal steps to implement the dissolution afterwards.

Please find a tentative agenda for the Assembly below. If you would like to suggest further items for it, please let us know by writing (preferably) to the members’ mailing list [5,6] or (alternatively) to the Secretary (Frank Loebe) via [7].

The Statute [4, Art. 18] allows for voting by proxy, constrained by: “No more than two proxies per member may be accepted.”

Dear members of the IAOA domiciled in Trento, Italy (IAOA-IT) [1], this is a formal invitation to participate in the first 2021 virtual assembly [2] of IAOA-IT, whose main purposes are to discuss and approve the 2020 Financial Statement.

Relocation Background

Although basically all IAOA activities are now transferred to that new association in Switzerland, for administrative reasons the original IAOA-IT cannot be closed while its bank account has not been cleared. The remaining money is being used for Association purposes through the support of the activities of IAOA-CH, which pursues the same goals. To avoid extra burdens, IAOA-IT is kept rather small in membership, but still has its statutory boards and councils, assembly and elections. Membership is free in general and can be applied for by writing to the IAOA-IT contact address [3] (but note: you receive this message already as a member of IAOA-IT).

Ballot on the 2020 Financial Statement

Italian law requires the Association’s Financial Statement to be formally approved every year by a (virtual) assembly.

The 2020 Financial Statement of IAOA-IT is available [4].

Due to effects resulting from the relocation, the financial development of IAOA-IT in 2020 shows again no revenues from membership. Most of the expenses are done to support IAOA-CH activities.

Procedure for the Financial Ballot – Voting: April 12-15, 2021

The discussion on the Financial Statement (and possibly other issues concerning the Association) can take place from now until April 06, 2021 through messages posted to [5], the members’ mailing list [6]. Finalized details will be published by April 11, 2021. The voting period will be April 12-15, 2021. Please consider marking your calendar, not at least such that we can meet the ballot quorum. Detailed voting instructions will become available at [2] and shall be distributed anew at ballot opening.

Final Remarks

The quorum is satisfied if the number of votes exceeds 50%+1 of the IAOA-IT membership count, determined on April 11. If we are not able to meet the quorum requirement, a second call will be necessary. The outcome of the voting is planned to be announced to the members’ mailing list [6] by April 25, 2021.

Please be aware that your vote takes just a few minutes, but it is very important to let IAOA-IT proceed without extra burden. Guaranteeing that the IAOA-IT is truly open and democratic is our first priority, and you will certainly understand that it requires a significant investment of voluntary time. So we really count on your support and sense of participation to a common thing.

Announcement of the 2020 Assembly of IAOA domiciled in Italy

Dear members of the IAOA domiciled in Trento, Italy (IAOA-IT),

this is a formal invitation to participate in the 2020 Virtual Assembly of IAOA-IT during which we will be newly selecting two members for the 2021 Executive Council (EC-IT) of IAOA-IT. This is necessary due to the fact that IAOA-IT persists beyond the end of 2020 and that four terms of office end on December 31, 2020 (one by resignation after one year, three after a two-year term).

For the next few weeks, we foresee three main phases: Candidature, Campaigning, and Elections, as described below.

This election follows the regulations in the IAOA-IT Statute [1] and Bylaws [2]. An Election Committee is in charge of supervising the election process, which comprises of Stefano Borgo, Valter Cavecchia, Michael Gruninger, Nicola Guarino and Maria Keet.

For future reference and public access, this and subsequent announcements will be published at the News page [3] of the IAOA-IT website [4].

Procedure for the EC Election – Voting: December 09-11, 2020

Four members of the EC-IT come to the end of their terms at the end of 2020: Roberta Ferrario, Michael Gruninger, Maria Keet, and Laure Vieu. The five remaining members with a term of office of 2020-2021 are: Ken Baclawski, Oliver Kutz, Frank Loebe, Fabian Neuhaus and Amanda Vizedom.

Given the reduced membership of IAOA-IT, the Election Committee in coordination with the Executive Council of IAOA-IT have decided that two (2) persons need to be elected. Accordingly, the new EC-IT will have seven Councillors.

1. Candidature Phase (November 17-30)

According to the Bylaws, at least two members (a proposer and at least one seconder, none of whom should be the nominee) are required in order to make a nomination. The members making the nomination shall ensure that they, as well as the nominee, are current members of IAOA-IT, and that the nominee shall accept the nomination. Nominees must have been members for more than one year.

*PLEASE START NOW IN MAKING YOUR NOMINATIONS,* by means of a message posted to [5], which specifies the proposer, the seconder(s), the nominee, and optionally some motivations and/or a candidate’s position statement (which might be circulated afterwards).

Nominations can be freely discussed on the IAOA-IT members’ mailing
list [6] from the nomination time to the end of the campaigning phase.

2. Campaigning Phase (December 01-08)

Campaigning can start with the first candidate nomination, i.e.,
during the candidature phase. Once that phase is closed, there is
still a week available for active campaigning and discussion on the
IAOA-IT members’ mailing list [4].

3. Voting Period (December 09-11)

In this period you will be asked to vote for two EC-IT candidates. Please be so kind as to participate in the vote even if you decide to abstain, so we can count you among the participants. The more participants, the stronger the result of the election will be!

The list of candidates and their position statements, as well as detailed voting instructions shall be distributed anew at ballot opening.

The quorum is satisfied if the number of votes exceeds 50%+1 of the IAOA-IT membership count, determined on December 08. If we are not  able to meet the quorum requirement, a second call will be necessary. The outcome of the voting is planned to be announced to the members’ mailing list [6] of IAOA-IT and the news page of the website by December 21, 2020.

the first 2020 Virtual Assembly of IAOA Italy [1] is over and we are grateful to everyone who spent time on the financial ballot in order to approve the 2019 Financial Report [2] of IAOA Italy.

We are  finalizing the 2019 Financial Statement of IAOA-IT and will send a brief notification as soon as it is available (within a few days). From then on, the discussion on the Financial Statement (and possibly other issues concerning the Association) will take place until April 09, 2020 through messages posted to [4], the members’ mailing list [5]. Finalized details will be published by April 14, 2020. The voting period will be April 15-17, 2020. Please consider marking your calendar, not at least such that we can meet the ballot quorum. EC Offices 2020-2021

In the latest EC Meeting on January 7, 2020, elections for the EC offices were held. By individual acclamations the 2019 incumbents were confirmed in their offices for 2020-2021, i.e.:

Results of EC Election 2020-2021

The EC election ended directly after the campainging phase, because the nominees are deemed to have been elected if there are as many as open positions (or less; cf. Article VII, Section 4, of the Bylaws). Accordingly, the following candidates have been elected:

In connection with the current election of the Executive Council of IAOA-Italy (EC-IT) for the period of office of 2020-2021, cf. [1], and following the last meeting of the present EC-IT, the following candidates have been nominated:

The first 2019 Virtual Assembly of IAOA Italy [1] is over and we are grateful to everyone who spent time on the election of three members of the Executive Council (EC) and on the financial ballot in order to approve the 2018 Financial Report [2] of IAOA Italy.

EC election and offices

As explained in the message opening the financial ballot, the EC election ended directly after the campainging phase, because the nominees are deemed to have been elected if there are as many as open positions (or less; cf. Article VII, Section 4, of the Bylaws [3]). Accordingly, Roberta Ferrario, Michael Gruninger and Laure Vieu continue anew in the EC, the other members of which during 2019 comprise of Ken Baclawski, Oliver Kutz, Frank Loebe, Fabian Neuhaus, Amanda Vizedom, and Zena Wood.
In the latest EC Meeting on April 17, 2019, elections for the EC offices were held. By individual acclamations the 2018 incumbents were confirmed in their offices for the remainder of 2019, i.e.:

2018 was another year of transition between IAOA-IT and IAOA domiciled in Bern, Switzerland (IAOA-CH). Although basically all IAOA activities are now transferred to that new association in Switzerland, for administrative reasons the original IAOA-IT cannot be closed while its bank account has not been cleared. The remaining money is being used for Association purposes and thus shall also support the activities of IAOA-CH, which pursues the same goals. To avoid extra burdens, IAOA-IT is kept rather small in membership, but still has its statutory boards and councils, assembly and elections. Membership is free in general and can be applied for by writing to the IAOA-IT contact address (see main page).

Ballot on the 2018 Financial Statement

Italian law requires the Association’s Financial Statement to be formally approved every year by a (virtual) assembly.
Due to effects resulting from the relocation, the financial development of IAOA-IT in 2018 was very different from that of previous years, with no revenues and a significant deficit. At least, some advance money spent to support FOIS 2018 and ISAO 2018 is about to be sent back to IAOA-IT, since these two events closed with a positive balance.

We are currently still finalizing the 2018 Financial Statement of IAOA-IT and will send a brief notification as soon as it is available (within a few days). From then on, the discussion on the Financial Statement (and possibly other issues concerning the Association) will take place until April 05, 2019. Finalized details will be published by April 09, 2019. The voting period will be April 10-12, 2019. Please consider marking your calendar, not at least such that we can meet the ballot quorum. 2019 Executive Council Election

The EC election follows the regulations in the IAOA-IT Statute and Bylaws. An Election Committee is in charge of supervising the election process, which comprises of Valter Cavecchia, Roberta Ferrario, Michael Gruninger, Nicola Guarino and Leo Obrst.
Here the extra work on the transition to Switzerland explains why we have not yet been able to run EC elections for IAOA-IT in due time, i.e., by the end of 2018. The three EC members whose term ended on December 31, 2018, have been maintained in position until the present virtual assembly by a decision taken during EC Meeting n.209, held on January 21, 2019.

Procedure for the EC Election – Voting: April 10-12, 2019

1. Candidature Phase (March 20 – April 02)
Three members of the Executive Council came to the end of their terms at the end of 2018: Roberta Ferrario, Michael Gruninger and Laure Vieu. Three (3) persons need to be elected. According to the Bylaws, at least two members (a proposer and at least one seconder, none of whom should be the nominee) are required in order to make a nomination. The members making the nomination shall ensure that they, as well as the nominee, are current members of the association, and that the nominee shall accept the nomination. Nominees must have been members for more than one year.
PLEASE START NOW IN MAKING YOUR NOMINATIONS, by means of a message posted to <iaoa-italy-member[@]ovgu.de>, which specifies the proposer, the seconder(s), the nominee, and optionally some motivations and/or a candidate’s position statement (which might be circulated afterwards).
Nominations can be freely discussed on the members’ mailing list from the nomination time to the end of the campaigning phase.

2. Campaigning Phase (April 03 – April 09)
Campaigning can start with the first candidate nomination, i.e., during the candidature phase. Once that phase is closed, there is still a week available for active campaigning and discussion on the members’ mailing list .

3. Voting Period (April 10 – April 12)
In this period you will be asked to vote for three Executive Council candidates. Please be so kind as to participate in the vote even if you decide to abstain, so we can count you among the participants. The more participants, the stronger the result of the election will be!
The list of candidates and their position statements will be made available through the Assembly wiki page, together with detailed voting instructions, which shall be distributed anew at ballot opening.
Results will be announced to the mailing list and the wiki page.

Final Remarks

Please note the synchronization of the voting periods of the two ballots: Wednesday-Friday, April 10-12. You can cast your combined vote for both ballots during these days. All details for voting are on the same place.

The quorum is satisfied if the number of votes exceeds 50%+1 of the IAOA-IT membership count, determined on April 09. If we are not able to meet the quorum requirement, a second call will be necessary. The outcome of the voting is planned to be announced to the members’ mailing list by April 17, 2019.

Please be aware that your vote takes just a few minutes, but it is very important to let IAOA-IT proceed without extra burden. Guaranteeing that the IAOA-IT is truly open and democratic is our first priority, and you will certainly understand that it requires a significant investment of voluntary time. So we really count on your support and sense of participation to a common thing.
